CHARITABLE CONTRIBUTION AND PLEDGE AGREEMENT FOR HUMANITARIAN DRUG DONATIONS FOR RESEARCH PURPOSE ONLY, EXPIRED DRUGS ARE NOT FOR HUMAN OR VETERINARY USE BUT STILL CAN BE USED FOR RESEARCH PURPOSE ONLY

 

            AGREEMENT made as of the ______ day of ____________, 2007, by and between the ______________________________ (the "Donor") and GLOBAL WATER & BIOLOGY, CONSERVATION RESEARCH INSTITUTE INC ( “Global”) .

 

WHEREAS, Global engaged in providing expired humanitarian drug donations for research purpose only, not for human or veterinary purpose to Research Institutes Authorities and other charitable organizations for use in research purpose and other general public good;

 

WHEREAS, prior to the execution of this Agreement, Global was formed as a California  non-profit corporation to oversee and administer the distribution of the amounts pledged by the Donor to Global  for the supply of drugs for research purpose only;

 

NOW, THEREFORE, in consideration of the mutual promises and obligations contained herein, and for other good and valuable consideration, the Donor agrees as follows:

 

all drug donations should be based on an expressed need and be relevant to the disease pattern in the recipient country. Drugs should not be sent without prior consent by the recipient.
 
the presentation, strength and formulation of donated drugs should, as much as possible, be similar to those of drugs used in the recipient country.
 
all donated drugs should be obtained from a reliable source and comply with quality standards in both donor and recipient country. The WHO Certification Scheme on the Quality of Pharmaceutical Products Moving in International Commerce should be used (Included in: WHO Expert Committee on Specifications for Pharmaceutical Preparations. Geneva: World Health Organization; 1992. Technical Report Series No. 823)
 
no drugs should be donated that have been issued to patients and then returned to a pharmacy or elsewhere, or were given to health professionals as free samples.
 
after arrival in the recipient country, all donated drugs should have a remaining shelf-life of at least one year. An exception may be made for direct donations to specific health facilities, provided that: the responsible professional at the receiving end acknowledges that (s)he is aware of the shelf-life; and that the quantity and remaining shelf-life allow for proper administration prior to expiration. In all cases it is important that the date of arrival and the expiry dates of the drugs be communicated to the recipient well in advance. Expired drugs should be noted and will be used for research purpose only.
 
all drugs should be labeled in a language that is easily understood by health professionals in the recipient country; For Iraq, Arabic and/or English.
 
the label on each individual container should contain, at a minimum, the International Nonproprietary Name (INN) or generic name, batch number, dosage form, strength, name of manufacturer, quantity in container, storage conditions and expiry date.
 
as much as possible, donated drugs should be presented in larger quantity units and hospital packs.
 
all drug donations should be packed in accordance with international shipping regulations, and be accompanied by a detailed packing list which specifies the contents of each numbered carton by INN, dosage form, quantity, batch number, expiry date, volume, weight and any special storage conditions. The weight per carton should not exceed 50kg and drugs should not be mixed with other supplies in the same carton.
 
recipients should be informed of all drug donations that are being considered and, following agreement, kept informed of progress including the estimated time and place of arrival.
 
in the recipient country the declared value of a drug donation should be based upon wholesale price of its generic equivalent in the recipient country, or, if such information is not available, on the wholesale world-wide price for its generic equivalent.
 
costs of international and local transport, warehousing, port clearance, and appropriate storage and handling should be paid by the donor agency, unless specifically agreed otherwise with the recipient in advance.

Global has been created as a California  non-profit corporation that will apply or has applied for recognition as an organization exempt from federal income tax as described in Section 501(c)(3) of the Internal Revenue Code and is able to accept donations for the purposes stated in its organizational documents.

3.Donor pledges to the Foundation the total sum of ______________________________________________ ($___________), (to be paid in equal annual installments of ______________each over _________ years )

 

4. Donor's obligation to make payments to fulfill the pledge or to pay any annual installment of the pledge is not conditioned on or affected by whether the payment is deductible by the Donor or any other payor for federal income tax purposes or federal gift tax purposes.

 

5. Monies received from Donor by Global shall be the property of Global shall not be deemed a separate trust fund held by it in a trustee capacity.

 

6. Monies received from Donor by Global  shall be used exclusively to provide bottled water to  Municipal, State and Federal authorities and entitles and other charitable organizations for disaster relief and for the public good, including, but not limited to Global administrative costs and expenses related thereto.

 

7. Distributions and use by Global of the income or principal or both shall be made at such times, in such amounts, in such ways and, subject to the preceding paragraphs, for such purposes as Global shall determine in its sole discretion, but not in an amount greater than funds received from time to time by Global.

8. Donor acknowledges that Global will incur obligations and engage in ongoing and continuous efforts to establish programs and undertake financial commitments to third parties to support programs for the purposes described in this Agreement, which it would not undertake but for Donor's pledge as provided herein.

 

9. This Agreement is intended to be binding upon Donor and Donor's successors and assigns for the benefit of and enforceable by Global.  This Agreement does not create a partnership or joint venture between or among the Donor and Global

.

10. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of California.
